1. Acceptance of Terms

By accessing or using the website located at https://getkit.us (the “Site”) and any services, features, content, or applications offered by Kinetx Co, doing business as KIT (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to all of these Terms, you must not access or use the Site or our services.

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

3. Description of Services

KIT provides business communications services including, but not limited to, WAN (Wide Area Network) services, SIP trunking, hosted PBX / unified communications, number porting, and related telecommunications solutions (“Services”). Specific service terms, pricing, and service level agreements (“SLAs”) may be set forth in separate agreements between you and the Company, which shall supplement and, in the event of conflict, take precedence over these Terms.

4. Account Registration & Security

Certain features of the Site or Services may require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at [email protected].

5. Acceptable Use

You agree not to:

  • Use the Site or Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
  • Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable;
  • Interfere with or disrupt the integrity or performance of the Site or Services, including through denial-of-service attacks, malware, or unauthorized access;
  • Attempt to gain unauthorized access to any systems, networks, or data connected to the Site;
  • Scrape, crawl, or use automated means to access the Site without our prior written consent;
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
  • Use the Services to make fraudulent, harassing, or unsolicited communications (including robocalling or spam);
  • Resell, sublicense, or redistribute the Services without our prior written consent.

6. Intellectual Property

All content, trademarks, service marks, logos, trade names, and other intellectual property displayed on the Site are the property of Kinetx Co or its licensors and are protected by United States and international intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written permission.

7. Third-Party Services & Links

The Site may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of or reliance on any such third-party content, goods, or services.

8. Payment Terms

If you purchase Services, you agree to pay all applicable fees as described in the applicable service agreement or order form. All fees are non-refundable unless otherwise stated in writing. Failure to pay may result in suspension or termination of your Services. We reserve the right to change pricing with 30 days' written notice.

9. Service Availability & Modifications

We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

10. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KINETX CO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Kinetx Co, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or transmit through the Site.

13. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the state where Kinetx Co maintains its principal place of business. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND KINETX CO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Termination

We may terminate or suspend your access to the Site and Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Kinetx Co is incorporated, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Kinetx Co regarding your use of the Site and Services, and supersede all prior agreements, representations, and understandings.
